Transneft today reported that "in connection with recent events" it is suspending talks with Sum on buying a stake in NCSP. The monopoly specifies that they remain interested in increasing the share in the share capital of the port. Deputy Prime Minister Arkady Dvorkovich declined to comment on the probable problems with the completion of the deal.

Transneft also refuted the previously mentioned possible transaction amount of $ 1.8 billion. "This figure was born in the rich imagination of people who were not familiar with the negotiations or with the negotiated parameters of the deal," the company said in a statement. This amount was led by the publication Znak.com, which also claimed that the arrest of the co-owner of Sumy Ziyavudin Magomedov is due to the fact that he asked for the share of the group in NCSP this price - two and a half times higher than the market, and, according to the source of Znak. com, the head of Transneft, Nikolay Tokarev, at a meeting with Vladimir Putin described this amount as "unreasonably high."

At the end of February, a deal to buy out Summa's stake in its parity JV with Transneft Novoport Holding Ltd, which owns 50% plus one share in NCSP, was approved by the FAS. Another 20% of the port belongs to the Federal Property Management Agency, 10.5% belong to Transneft-Service owned by Transneft, 5.3% - to OJSC Russian Railways. In March, Transneft's board of directors commissioned to complete negotiations with Suma on the deal on "acceptable terms". But on March 31, the Tverskoi Court of Moscow arrested Mayor of Sumy Ziyavudin Magomedov, his brother Magomed, and the head of Intex company, Artur Maxidov, on May 30, on charges of embezzlement, embezzlement and organization of the criminal community.

At the moment, Transneft sees its main task in ensuring stable operation of the port, the company notes. In addition, the monopoly proposes to elect a representative of the state at an extraordinary meeting of shareholders of NCSP on April 13. In February, Novoport did not nominate candidates for NCSP's board of directors. In Sumy, then, this was explained by a certain assignment of the government to conclude a new shareholder agreement. "Due to this legal restructuring, Novoport does not have the technical ability to nominate candidates," the group said. The previous extraordinary meeting of shareholders of NCSP on March 5, which was to re-elect the board of directors, did not take place due to lack of quorum.

As a result, on March 12 the NCSP board of directors approved a new list of candidates for election at the annual meeting - without Novoport representatives. But Transneft-Service nominated the first vice-president of Transneft, Maxim Grishanin, vice-presidents of the monopoly Sergey Andronov and Rashid Sharipov (they are still members of the directors). In addition, among the candidates are the new general director of NCSP, Sergey Kireev, and the deputy director of the Transneft department Nikolay Platonov (also now a council member). From the state to the council put forward the head of the Federal Property Management Agency Dmitry Pristankov (member of the acting council) and the director of the department of the Ministry of Transport, Alexander Tikhonov. In total, six elected members of the NCSP board of directors and one appointed by the state that owns the company's "golden share" (now this place is occupied by presidential aide Igor Levitin). From the "sum" to the council, the group's general director Leila Mammadzade and Alexander Potapushin were nominated.

 Transneft intends to seek the election of a representative of the state to the post of chairman of the board of directors of the Novorossiysk Commercial Sea Port (NCSP), a company spokesman said on Tuesday. Now the board of directors of the largest port of Russia is headed by the vice-president of "Transneft" Rashid Sharipov.

"In connection with the recent events, Transneft suspended negotiations with the Suma group. At the same time, we still have interest in increasing the share in the share capital of the Novorossiysk port. At the moment we see our main task in ensuring stable operation of the port. On April 13, an extraordinary meeting of NCSP shareholders will take place with the election of a new board of directors. In the current situation, Transneft came out with the initiative to elect a representative of the state to the post of chairman of the board of directors, "said company spokesman Igor Demin.

"Sum" and "Transneft" on an equal footing own 50.1% of NCSP through the Cyprian Novoport Holding, the Federal Property Management Agency - 20%.

Earlier it was reported that the co-owner of the group "Sum" billionaire Ziyavudin Magomedov agreed to sell its stake in Transneft, and the transaction has already been approved by the FAS. After the purchase of the Sums stake, Transneft will control 60.6% of NCSP (separately Transneft through its daughter Transneft-Service controls another 10.5% of the company).

 Appearing in the media estimate of the amount of the deal at $ 1.8 billion, Demin today called the fruit of "a rich imagination of people who are not familiar with the course of negotiations or with the negotiated parameters of the deal."

Now seven representatives of NCSP's board of directors are represented by two representatives of Summa - the general director of the group Leila Mamedzade and a member of the board of directors Alexander Potapushin. As early as February, NCSP directors approved a list of candidates to the council for voting at an extraordinary meeting in which there is not a single representative of Summa.

On March 30, Ziyavudin Magomedov was detained and interrogated in the Ministry of Internal Affairs, and the next day he was arrested along with his elder brother - former senator Magomed Magomedov and general director of Intec LLC (included in Summa) Arthur Maxidov. The Magomedovs are accused of fraud (Part 4, Article 159 of the Criminal Code of the Russian Federation), embezzlement in a particularly large amount (Part 4, Article 160) and organization of the criminal community (Part 1, Article 210). The investigation estimates the damage in more than 2.5 billion rubles. A significant part of the kidnapped, according to the investigation, is abroad. In total, there are seven episodes of embezzlement. One of them concerns the construction of the Arena Baltika Stadium in Kaliningrad for the World Cup.

At the auction on Monday, NCSP's quotes recovered quite quickly after a sharp drop in the news about the businessman's arrest. Quotations of the Far Eastern Shipping Company, in which Sumy has 32.5%, collapsed by 20%.
