As it became known to “Kommersant-Yug”, Rostov-on-Don Airport OJSC may withdraw from the management of MC “Airports of the Regions”. With the proposal to change the management system of the company with the possible transfer of powers of the sole executive body of the OJSC to the general director, the holding company “Airports of the Regions”, which owns a large block of shares of the OJSC, spoke. In the holding they say that this is a step towards the upcoming liquidation of the company. Recall that another major shareholder, the Agrokom Group, Ivan Savvidi, opposes the liquidation of the joint stock company, in connection with which another episode of confrontation flares up between the co-owners of the old Rostov airport.
On Thursday, the Board of Directors of Rostov-on-Don Airport OJSC made a decision to convene an extraordinary meeting of shareholders. The meeting is scheduled for August 8th.
The agenda includes consideration of the termination of the powers of the managing organization and the early termination of the contract on the transfer of the powers of the sole executive body to it.
Since 2015, the joint-stock company has been managed by MC Airports of the Regions (included in the holding of the same name) The proposal to withdraw from the services of the management company was received from the holding, which is the actual owner of a large block of shares of Rostov-on-Don Airport OJSC. According to Evgeny Krasikov, Director for Strategic Communications at UK Airports of the Regions, the abandonment of the current management system is due to the reality in which the company has been living since March 2018 after the ban on the operation of the airfield. The main economic activity of the company, that is, the acceptance and dispatch of aircraft and passenger services, has virtually ceased. Accordingly, the involvement of a specialized Criminal Code in this situation does not make sense. The powers of the sole executive body of the company can be transferred to the general director, said Evgeny Krasikov. At the same time, he noted that the refusal of the services of the Criminal Code is related to the plans for the liquidation of OJSC Rostov-on-Don Airport.
As “Kommersant-Yug” wrote earlier, “Airports of the Regions” suggest liquidating the company, arguing that after the actual closure of the airport, the company lost the main share of the revenue, which was generated by the income from servicing airlines and passengers. The company's revenue for 2018 amounted to 65 million rubles, a decrease of 97% compared with the previous financial year. It is noted that, in general, the expenses of the JSC for the maintenance of the airport infrastructure have exceeded revenues. Last week, the proposal to liquidate the OJSC was considered at the general meeting of shareholders, but they could not make a decision.
Another major shareholder, Group Agrokom, opposes the liquidation of Rostov-on-Don Airport OJSC. The general director of this company, Sergei Sapotnitsky, told Kommersant-South that the position of the holding regarding refusal of the services of the Criminal Code has not yet been determined. According to Mr. Sapotnitsky, “Agrokom Group” currently does not have the details of the proposal for early termination of the contract with the management company.
Mr. Sapotnitsky confirmed the group’s disagreement with the liquidation of the OJSC. "Airports of the regions" do not offer anything else. We say that we are ready to take over the management of this business and develop a plan for its further development, ”he said.
Rostov-on-Don Airport OJSC was the operator of the so-called old Rostov airport, which was closed by an order of the Russian government in 2018. All aviation activity from it was transferred to the new airport “Platov”, built from scratch by the holding “Airports of the Regions”, which is a part of the Renova group of Viktor Vekselberg.
Note that between the two largest shareholders of the OJSC, corporate conflicts flared up repeatedly.
